General: 

By accessing, browsing, and/or using this website ("site") and the Study Edge service, or mobile applications (collectively, "Study Edge"), you agree to be bound by these terms of use ("terms"). You must be at least 13 years old to use the Service. If you are under 18, you must have your parent or guardian's permission. By using the Service, you represent and warrant that you meet the applicable age requirement. If a parent or guardian consents to these Terms on behalf of a minor, the parent or guardian agrees to be bound by these Terms and is responsible for the minor's compliance.  Please review them carefully before using this site, service, and applications. We reserve the right, at our sole discretion, to change, modify, add or delete portions of these terms at any time and post the changes to this page, including an effective date. Study Edge has no obligation to provide individualized notice of any changes. Your continued use of this site or the Study Edge applications/service after such changes are posted constitutes your acceptance of the new terms, regardless of whether you have reviewed them. If you do not agree to abide by these or future terms, please do not use the Study Edge site, service, or applications.  

Definitions: 

The following terms have the meanings set forth below:

"Company" means Study Edge, Inc., together with its parents, subsidiaries, and affiliates.

"Account" means the registered user account created by You to access the Service.

"Content" means all text, images, videos, PDFs, audio, software, data, and other materials made available through the Service by the Company.

"Site" and "Service" mean the Study Edge website and mobile applications or software accessible via the internet or an Android OS or Apple iOS operating system and mobile network by Study Edge in order to offer services related to the process of viewing educational videos, and any upgrades from time to time and any other software or documentation which enables the use of the site, service, or applications.

"Subscription" means a recurring paid membership granting access to the Service at the applicable membership level.

"You" or "User" means any individual who accesses or uses the Site, Service, or applications.

Data Protection and Privacy: 

Any personal information you supply to Study Edge when using the site will be used by Study Edge in accordance with our Privacy Notice, which is incorporated into and forms part of these Terms. By using the Service, you consent to the collection, use, and processing of your information as described in the Privacy Notice.

Conditions of Use: 

You agree that you may not use the Study Edge site or service in any unlawful manner or in any manner that could damage, disable, overburden, or impair the Study Edge site or service, including but not limited to any commercial purpose, resale, or redistribution of the Service or Content. You agree not to use the Study Edge site, service or applications to post, transmit or make available any content that may be deemed harmful, threatening, abusive, vulgar, discriminatory, harassing or otherwise objectionable. You further agree not to use or attempt to use another user account without our authorization, or to misrepresent yourself on the site or service. You agree that you will not upload or transmit copyrighted, confidential or proprietary information without required authorization or to make available any material that contains software viruses or malicious/destructive computer code. You agree not to share the services you have paid for with anyone else, including by sharing your login credentials with any third party, and you will only utilize services for courses you are enrolled in. Unauthorized sharing constitutes a material breach of these Terms and may result in immediate Account termination without refund, in addition to liability for the Subscription fees that would have been paid by each unauthorized user. You agree you will not forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Study Edge site. You will not attempt to copy, reduce, alter, modify, reverse engineer, disassemble, decompile, transfer, exchange, or translate the site, service, software, or applications, or create derivative works of any kind from the service and applications, including but not limited to video and PDF content. You further agree not to use any automated means, including bots, scrapers, or data mining tools, to access, collect, or extract data or Content from the Service.

If you access the Study Edge service or applications via a mobile network, you acknowledge that the terms of agreement with your respective mobile network provider will continue to apply when using the application. If you are not the bill payer for the mobile telephone or device used to access the application, you are assumed to have permission from the bill payer to use the application. 

User Content and Profile Information: 

By submitting any information through the Application, you represent and warrant that all such information is accurate, complete, lawful, and current. You are solely responsible for the form, content, and truthfulness of the information you provide, including any details contained in your profile. We disclaim any liability for, and are not obligated to verify, the accuracy or legality of user-submitted content. By submitting any content through the Service, you grant the Company a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, and distribute such content in connection with operating, improving, and promoting the Service. The Company may remove or disable any user-submitted content at its sole discretion, without notice or liability.

Recurring Billing: 

Your Study Edge membership will automatically be renewed on a month-to-month basis until you cancel. To avoid being charged for the next billing cycle, you must cancel your membership before the renewal date. The Company reserves the right to change Subscription pricing at any time; any price change will take effect at the start of your next billing cycle, and your continued use of the Service after the price change constitutes acceptance of the new price. 

Cancellation: 

You may cancel your Subscription at any time through your Account dashboard. To cancel your membership, go to the My Account page on the Study Edge website, then "Billing" and click "Cancel." Make sure you complete all steps in the cancellation process. You will receive a cancellation confirmation number and email when the process is complete. Cancellation will be effective at the end of your current billing cycle, and you will retain access to the Service through that date. It is your sole responsibility to cancel before your next renewal date to avoid being charged for the following billing cycle.

Refunds: 

(a) Standard Policy: Except as otherwise provided herein or required by applicable law, all Subscription fees are non-refundable. There are no refunds or credits for partially used billing periods.

(b) Alternative Credit: In lieu of a monetary refund, the Company may, in its sole discretion, offer a service credit, gift card, or other non-cash consideration. Acceptance of any such alternative is voluntary and constitutes full and final settlement of the refund request. 

(c) Courtesy Refunds & Administrative Fee: If the Company, in its sole discretion, elects to grant a refund as a courtesy or exception (such as for an accidental auto-renewal or late cancellation request), the refund will be subject to a non-refundable $10.00 Administrative Fee. This fee offsets third-party merchant processing costs and administrative overhead associated with reversing the transaction. The $10.00 fee will be deducted directly from the total refunded amount. The granting of a courtesy refund in one instance does not entitle the User to a refund in any future instance, nor does it create any obligation on the part of the Company to issue refunds under similar circumstances.

(d) Merchant Errors: No Administrative Fee will be applied if a refund is issued due to a billing error made solely by the Company or a verified service interruption attributable to the Company.

Availability: 

This site, service and related applications are available via an internet connection or an  Android OS or Apple iOS operating system and mobile network. Study Edge will use reasonable efforts to make the site available at all times. Notwithstanding the foregoing, the Company may suspend, modify, or discontinue the Service (or any part of it) at any time, with or without notice, and will not be liable to you for any such suspension, modification, or discontinuation. You acknowledge the site and service are provided over the internet and/or mobile networks, and the quality and availability of the site may be affected by factors outside of Study Edge's reasonable control. 

Study Edge does not accept any responsibility whatsoever for unavailability of the site or any difficulty or inability to access content or any other communication system failure which may result in the site or service being unavailable. Study Edge makes no warranty that the site, service, content, in-person reviews attended, videos, or results obtained from the service will be accurate, reliable or meet your expectations, or that errors will be corrected. 

Termination: 

Study Edge may suspend or terminate your Account and use of this site or service at any time, with or without cause and with or without notice. Without limiting the foregoing, Study Edge may immediately suspend or terminate your Account for any violation of these Terms, suspected fraud, or misuse of the Service. Upon any termination, all rights granted to you herein shall terminate; you must cease all use of the site and software. No prorated refunds will be issued upon termination. The following sections shall survive termination of these Terms: Indemnification, Limitation of Liability, Disclaimer of Warranties, Proprietary Rights, and any accrued payment obligations. 

Indemnification:  

You will indemnify and hold Study Edge, its parents, subsidiaries, affiliates, officers, and employees harmless (including, without limitation, from all damages, liabilities, settlements, costs and attorneys' fees) from any claim or demand made by any third party due to or arising out of your access to the Service, use of the Service, your violation of this Agreement, or the infringement by you or any third party using your Account of any intellectual property or other right of any person or entity. The Company may, at its sole discretion, assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with the Company's defense of such claim.

Limitation of Liability: 

UNDER NO LEGAL THEORY, INCLUDING, BUT NOT LIMITED TO NEGLIGENCE, SHALL STUDY EDGE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, COST OF COVER, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF STUDY EDGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM (i) THIS AGREEMENT; (ii) YOUR USE OR THE INABILITY TO USE THE STUDY EDGE OFFERINGS; OR (iii) ANY INTERACTION WITH ANY THIRD-PARTY THROUGH OR IN CONNECTION WITH STUDY EDGE OFFERINGS, INCLUDING OTHER USERS. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THESE TERMS, TO THE EXTENT ANY LIABILITY IS FOUND NOTWITHSTANDING THE FOREGOING EXCLUSIONS, THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO THE COMPANY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

YOU SPECIFICALLY ACKNOWLEDGE THAT COMPANY SHALL NOT BE LIABLE FOR CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU. 

CERTAIN JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF YOU RESIDE IN SUCH A JURISDICTION, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS. IN SUCH CASES, COMPANY'S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW. 

Study Edge is not liable to you for any damage or alteration to your equipment including but not limited to computer equipment, handheld devices or mobile telephones as a result of the browsing or use of the site or service. 

Disclaimer of Warranties: 

To the maximum extent permitted by law, Study Edge disclaims all implied warranties with regard to this site and service, including loss, liability, injury, claim or damage of any kind. The site, service, applications and software are provided "as is" and "as available" without a warranty of any kind. 

Proprietary Rights: 

This site, service and applications and all trademarks, copyright, database rights and other intellectual property rights of any nature in the site, service or applications, together with the underlying software code are owned by Study Edge. No material in any shape or form may be copied, reproduced, transmitted, or distributed. 

Governing Law and Venue: These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Alachua County, Florida, and you consent to the personal jurisdiction of such courts.

Dispute Resolution and Class Action Waiver: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, and not in court. YOU AND THE COMPANY EACH WAIVE THE RIGHT TO A TRIAL BY JURY. YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST THE COMPANY ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Force Majeure: The Company shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labor disputes, government actions, power failures, internet or telecommunications failures, or cyberattacks.

Assignment: The Company may assign or transfer these Terms, in whole or in part, without restriction and without your consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. You may not assign or transfer these Terms or any rights hereunder without the Company's prior written consent.

Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Entire Agreement: These Terms, together with the Privacy Notice and any other policies referenced herein, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements and understandings, whether written or oral.

Electronic Communications: By using the Service, you consent to receiving communications from the Company electronically, including by email or by posting notices on the Service. You agree that all notices, agreements, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.
